Hewlett Packard Enterprise (HPE) is facing regulatory review for its proposed acquisition of Juniper Networks (JNPR) as the UK competition regulator investigates potential competition concerns. The $14 billion all-cash deal was announced in January 2024 and aims to strategically shift HPE’s business portfolio towards higher-growth sectors and increase its free cash flow potential.

The importance of the acquisition lies in significantly improving HPE’s returns to shareholders, allowing aggressive investment in growth areas like artificial intelligence (AI), and doubling its networking business. Networking will become a core component of HPE’s AI and hybrid cloud solutions, leading to increased revenue growth and expanded margins.

Though HPE stock has surged over 30% this year due to strong demand for its AI systems, completion of the acquisition depends on regulatory approvals. The deal is expected to close in late 2024 or early 2025, reshaping HPE’s business landscape. Any negative developments could impact its share price, with a current consensus rating of Hold among analysts and an average price target of $21, implying a 3.85% potential downside from current levels.
